Terms of Service

Effective Date: May 10, 2026

1. Agreement to Terms

By accessing or using the services of Umbra Mobility LLC ("Umbra," "we," "our," or "us"), including our website at umbramobility.com, mobile application (when available), and transportation brokerage services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Nature of Our Service

Umbra Mobility operates as a transportation brokerage. We connect customers with independent, vetted chauffeur affiliates who provide the actual transportation services. Umbra Mobility does not own or operate vehicles, nor does it employ chauffeurs directly. All chauffeur affiliates are independent operators who maintain their own vehicles, insurance, and licenses.

By using our platform, you acknowledge that Umbra Mobility acts as an intermediary facilitating the booking, payment, and coordination of transportation services provided by independent affiliate operators.

3. Eligibility

You must be at least 18 years of age to use our services. By placing a booking, you represent that you are legally able to enter into binding contracts. Corporate accounts must be authorized by a designated company representative.

4. Booking and Reservations

Placing a booking: Reservations can be made through our website, mobile app, email, or phone. All bookings are subject to vehicle and chauffeur availability in the requested city and time.

Confirmation: A booking is confirmed when you receive a confirmation email or SMS with your reservation details and reference number. Chauffeur and vehicle details are sent approximately two hours before your scheduled pickup.

Accuracy: You are responsible for providing accurate pickup and drop-off locations, passenger count, flight information (for airport transfers), and contact details. Incorrect information may result in service delays or additional charges.

5. Pricing and Payment

Rates: Pricing is based on vehicle type, service type (transfer, hourly, point-to-point), and city. Rates are displayed at the time of booking and may vary by location. Estimated fares are provided before confirmation.

Additional charges: The following may result in additional charges:

  • Wait time exceeding the complimentary grace period (15 minutes for airport pickups, 10 minutes for all other pickups)
  • Additional stops not included in the original booking
  • Extended hours beyond the reserved time for hourly charter
  • Tolls, parking fees, and airport access fees incurred during service
  • Excessive vehicle cleaning required due to passenger negligence

Payment: All payments are processed securely through Stripe. We accept major credit cards, debit cards, Apple Pay, and Google Pay. Corporate accounts may be invoiced on a net-30 basis upon approval.

Gratuity: Gratuity is not included in the quoted fare and is at your discretion. A 20% gratuity is customary in the luxury ground transportation industry.

6. Cancellation Policy

  • 24+ hours before pickup: Full refund, no cancellation fee
  • 12–24 hours before pickup: 50% cancellation fee
  • Less than 12 hours before pickup: Full fare charged, no refund
  • No-show: Full fare charged. A no-show is defined as failure to appear at the pickup location within 15 minutes of the scheduled time without prior communication

Cancellations for special events (Art Basel, Super Bowl, Formula 1, New Year's Eve, etc.) may be subject to stricter policies communicated at the time of booking.

7. Service Standards

All Umbra Mobility affiliate chauffeurs are required to meet our standards, including:

  • Valid commercial driver's license and clean driving record
  • Comprehensive commercial insurance coverage
  • Late-model, well-maintained luxury vehicles
  • Professional appearance and conduct
  • Knowledge of local routes and destinations

If your experience does not meet these standards, please contact us immediately so we can address the issue.

8. Passenger Conduct

Passengers are expected to treat chauffeurs and vehicles with respect. We reserve the right to terminate a ride in progress and charge the full fare if a passenger:

  • Engages in abusive, threatening, or illegal behavior
  • Causes damage to the vehicle
  • Exceeds the vehicle's passenger capacity
  • Transports hazardous materials

You are responsible for any damage to the vehicle or cleaning costs resulting from your use of the service.

9. Liability and Disclaimers

Transportation services: Because Umbra Mobility is a brokerage and not a direct transportation provider, the affiliate chauffeur and their insurance are primarily responsible for any incidents during transit. All affiliate partners are required to carry comprehensive commercial auto insurance meeting or exceeding state minimum requirements.

Limitation of liability: To the maximum extent permitted by law, Umbra Mobility's total liability for any claim arising from our services shall not exceed the amount paid by you for the specific booking in question.

No warranty: Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted service, exact arrival times, or specific vehicle availability, though we make every reasonable effort to meet your expectations.

10. Mobile App and Dispatch

When our mobile application becomes available, additional terms may apply to its use, including location tracking for ride dispatch and real-time updates, push notification permissions, in-app communication features, and account security. These terms will be presented within the app and supplement these Terms of Service.

11. Intellectual Property

All content on our website and app — including the Umbra Mobility name, logo, design, text, images, and software — is the property of Umbra Mobility LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without written permission.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in Jacksonville, Florida, under the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit against Umbra Mobility.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

14. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
